Why do I need a corporate secretary?

Appointing a corporate secretary may be beneficial as corporate secretaries are required to be certified accountants, lawyers or be members of the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA). The many statutory requirements entail that any person acting as secretary on behalf of the company should have sound knowledge of the Companies Act. The stringent requirements of acting as a qualified corporate secretary ensure that companies meet all their corporate obligations with ACRA and to shareholders.

 

What is a nominee director?

Under Section 145 (1) of the Singapore Companies Act (Cap. 50), every private limited company is required to have at least one director who is “ordinary resident in Singapore”. However, if you are a foreign company incorporating in Singapore and do not know anyone in Singapore who can become a director of your company, we can arrange for a nominee director to act on behalf of your company in Singapore.

 

Would engaging a corporate secretary give them the power to affect my business decisions?

Generally, the business decisions should be made by the directors of the Company. The corporate secretary should be the person who maintains the records of a company and oversees the certification of company documents.
